These Terms and Conditions (“Terms”) govern your access to and use of the website(s), learning platforms, applications, content, certifications, products, and services made available by Universal Business Council (“Universal Business Council,” “we,” “us,” or “our”), a council operated and administered by Tosh Innovations Private Limited (collectively, the “Site” or “Services”).

Please read these Terms carefully before using the Site or Services. These Terms affect your legal rights and obligations. By accessing, browsing, registering for, purchasing, or using any part of the Site or Services, you agree to be bound by these Terms and our applicable policies, including our Privacy Policy, Refund Policy, and Support Policy. If you do not agree to these Terms, you must not use the Site or Services.

For the purposes of these Terms, “you” and “your” mean the individual accessing or using the Site or Services, and if applicable, the entity on whose behalf such individual is acting.

  1. ACCEPTANCE OF TERMS AND USER OBLIGATIONS

Your use of the Site and Services constitutes your acknowledgment and acceptance of these Terms, which take effect on the date of your first use of the Site or Services.

By accessing, using, downloading, or purchasing any content, materials, certifications, products, or services from the Site, you agree on your own behalf and on behalf of any person or entity you represent to comply with these Terms and all applicable laws.

You agree to use the Site and Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit the use and enjoyment of the Site by any other person. Prohibited conduct includes, without limitation, harassment, abuse, defamation, fraudulent conduct, transmission of unlawful or offensive material, and interference with the normal operation of the Site.

If you do not accept these Terms in full, you are not permitted to access or use the Site or Services and must discontinue use immediately.

  1. CHANGES TO TERMS

We reserve the right to modify, update, or replace these Terms at any time, in our sole discretion. Updated Terms will be posted on the Site with a revised effective date, where applicable.

Your continued use of the Site or Services after updated Terms are posted constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

If there is any conflict between these Terms and any service-specific terms, program rules, or conditions published for a particular offering, the service-specific terms will govern to the extent of that conflict.

  1. ELIGIBILITY AND ACCOUNT RESPONSIBILITIES

You represent that you are legally competent to enter into a binding agreement and to use the Site and Services in your jurisdiction. If you are using the Site or Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to notify us promptly of any unauthorized use of your account or any security breach.

We are not liable for losses arising from your failure to maintain the security of your login credentials.

  1. OUR SERVICES

Universal Business Council provides education, training, certification, and related learning resources in business, technology, and associated professional domains.

We do not provide financial advice, investment advice, legal advice, or trading recommendations through the Site or Services unless explicitly stated in a separate written agreement.

Access to certain Services may require payment, registration, identity verification, or compliance with additional eligibility requirements. We reserve the right to modify, suspend, or discontinue any Service, feature, course, certification, or content at any time, with or without notice.

  1. FEES, PAYMENTS, AND REFUNDS

Fees for paid Services are listed on the applicable sales page, proposal, invoice, or checkout page at the time of purchase, unless otherwise agreed in writing.

By purchasing a paid Service, you agree to pay all applicable charges, taxes, and fees in accordance with the payment terms presented at checkout or otherwise communicated to you in writing.

Refunds, if any, are governed exclusively by our Refund Policy in effect at the time of purchase. In the event of any conflict between these Terms and the Refund Policy regarding refunds, the Refund Policy will govern.

  1. INTELLECTUAL PROPERTY RIGHTS

All content, materials, software, interfaces, text, graphics, videos, audio, course content, assessments, certifications, logos, designs, trademarks, service marks, and other intellectual property made available through the Site or Services are owned by or licensed to Universal Business Council, Tosh Innovations Private Limited, or their licensors, and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any ownership rights in the Site or Services or any intellectual property made available through them. Except as expressly permitted in writing, you may not copy, reproduce, distribute, publish, display, transmit, modify, create derivative works from, reverse engineer, decompile, sell, license, exploit, or otherwise use any content or materials from the Site or Services.

Any unauthorized use of our intellectual property may result in suspension or termination of access, revocation of certifications, and legal action.

  1. LIMITED LICENSE TO USE SERVICES

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your personal or internal business learning purposes only.

This license does not permit resale, sublicensing, redistribution, public display, commercial exploitation of course content, or use of our materials to create competing products or services unless expressly authorized by us in writing.

  1. ANTI-PIRACY AND CONTENT PROTECTION

You agree not to copy, record, pirate, duplicate, scrape, download in bulk, redistribute, share credentials for, or otherwise misuse any educational or non-educational content available through the Site or Services.

You must not remove, obscure, or alter copyright notices, trademarks, watermarks, or any proprietary notices included in our content or materials.

We reserve the right to monitor access patterns and investigate suspected unauthorized copying, credential sharing, or misuse of content. We may suspend or terminate access, revoke certifications, and pursue legal remedies where misuse is suspected.

  1. USER CONTENT AND SUBMISSIONS

If you submit content to the Site or Services, including comments, reviews, testimonials, assignments, forum posts, messages, images, or other materials (“User Content”), you represent and warrant that you own or control all rights necessary to submit such User Content and that it does not violate any law or third-party rights.

By submitting User Content, you grant Universal Business Council and Tosh Innovations Private Limited a non-exclusive, worldwide, royalty-free, transferable license to use, host, store, reproduce, display, publish, adapt, and distribute such User Content for purposes related to operating, improving, promoting, and providing the Site and Services, subject to applicable law and our Privacy Policy.

We reserve the right, but not the obligation, to remove, review, moderate, or restrict User Content at our discretion.

  1. CERTIFICATIONS, CREDENTIALS, AND PUBLIC LISTING

Where applicable, certifications or credentials may be issued upon successful completion of eligibility criteria determined by us, including course completion, assessments, attendance requirements, conduct standards, and fee payment.

We reserve the right to verify, deny, revoke, suspend, or invalidate certifications or credentials where we reasonably believe there has been misconduct, academic dishonesty, fraud, policy violation, identity misrepresentation, unauthorized assistance, or misuse of our marks or credentials.

If you obtain a certification from Universal Business Council, you grant us permission to identify you as a learner, participant, or certified individual on our website and promotional materials, which may include your name, photograph, designation, and organization name, unless you request otherwise in writing or applicable law requires a different standard.

  1. RESTRICTED ACTIVITIES

You must not engage in any activity that misrepresents your relationship with Universal Business Council or Tosh Innovations Private Limited.

Restricted Activities include, without limitation:

(a) representing yourself as our employee, consultant, trainer, partner, vendor, reseller, or authorized representative without prior written authorization;

(b) offering services, making commitments, or issuing communications on our behalf without authorization;

(c) forging, altering, or misusing certificates, badges, letters, or other credentials associated with Universal Business Council;

(d) using our name, logo, branding, or certifications in a misleading, deceptive, defamatory, unlawful, or fraudulent manner;

(e) engaging in any illegal, deceptive, fraudulent, or harmful activity while claiming association with us;

(f) attempting unauthorized access to our systems, accounts, data, or services;

(g) interfering with the security, integrity, performance, or availability of the Site or Services.

  1. ACTIONS WE MAY TAKE FOR VIOLATIONS

If we reasonably believe that you have violated these Terms or engaged in Restricted Activities, we may take one or more actions at our sole discretion, with or without prior notice, including:

(a) limiting, suspending, or terminating your access to the Site or Services;

(b) suspending or closing your account;

(c) revoking or invalidating certificates, credentials, or licenses issued to you;

(d) refusing future enrollments or purchases;

(e) removing User Content;

(f) notifying affected parties, partners, institutions, or relevant stakeholders where appropriate;

(g) reporting suspected unlawful conduct to law enforcement, regulators, or competent authorities;

(h) pursuing civil or criminal remedies available under applicable law.

Any such actions may be taken without refund, subject to our Refund Policy and applicable law.

  1. THIRD-PARTY LINKS, PRODUCTS, AND SERVICES

The Site may contain links to third-party websites, products, services, software, payment systems, or resources for your convenience. We do not control and are not responsible for the availability, content, policies, security, or practices of any third-party services.

Inclusion of a link does not imply endorsement, sponsorship, affiliation, or approval. Your use of third-party services is at your own risk and subject to the terms and policies of the relevant third party.

We are not responsible for any loss, damage, or dispute arising from your dealings with third parties.

  1. DISCLAIMERS

The Site and Services, including all content, materials, certifications, and features, are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, Universal Business Council and Tosh Innovations Private Limited disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, compatibility, security, and accuracy.

We do not warrant that the Site or Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any content, materials, statements, or results obtained through the Site or Services.

Any reliance you place on the Site, Services, or any content is solely at your own risk.

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Universal Business Council, Tosh Innovations Private Limited, and their directors, officers, employees, contractors, agents, licensors, affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings, arising out of or related to your use of, or inability to use, the Site or Services, even if advised of the possibility of such damages.

Without limiting the foregoing, we are not liable for damages arising from errors, omissions, interruptions, delays, unauthorized access, data loss, malware, system failures, third-party conduct, or events beyond our reasonable control.

To the fullest extent permitted by law, our aggregate liability for all claims arising out of or relating to the Site or Services shall not exceed the total amount actually paid by you to Universal Business Council for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to such claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

  1. INDEMNITY

You agree to indemnify, defend, and hold harmless Universal Business Council, Tosh Innovations Private Limited, and their affiliates, officers, employees, agents, contractors, licensors, and partners from and against any claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

(a) your use of the Site or Services;

(b) your breach of these Terms or any applicable policy;

(c) your violation of any law or third-party rights;

(d) your User Content; or

(e) your misuse of certifications, credentials, or our intellectual property.

  1. SOFTWARE AND PLATFORM ACCESS

From time to time, software, tools, downloadable resources, or platform components may be made available for use in connection with the Services. Such software or tools are licensed, not sold, and are provided solely for authorized use in connection with the Services.

Unless expressly permitted in writing, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from any software or platform component.

  1. PRIVACY AND DATA USE

Your use of the Site and Services is also governed by our Privacy Policy. By using the Site or Services, you acknowledge that we may collect, use, and disclose information in accordance with our Privacy Policy.

  1. TERMINATION

We may suspend or terminate your access to the Site or Services at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable policies, or law, or if continued access may create risk, harm, or liability for us or others.

Upon termination, the rights granted to you under these Terms cease immediately. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnity, dispute-related provisions, and enforcement rights.

  1. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms, the Site, or the Services shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

Any cause of action arising out of or related to your use of the Site or Services must be commenced within one (1) year after the cause of action arises, unless a longer period is required by applicable law.

  1. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.

  1. ENTIRE AGREEMENT

These Terms, together with any service-specific terms and our applicable policies (including the Privacy Policy, Refund Policy, and Support Policy), constitute the entire agreement between you and Universal Business Council regarding your use of the Site and Services, and supersede prior or contemporaneous communications relating to the same subject matter, except where expressly agreed in writing.
